Hi,

I have to convert few DNN sites starting from 4.9.3 and 6.0.0 to 7.1.2.

1. Will the look and feel of the old site change to new 7.1.2 after conversion (e.g. old menu bar changes to new menu bar) or the DNN changes only the platform and look and feel remains same?

2. Will the upgrade process takes care of DB changes like creating missing/new tables for new version? E.g. few old sites might not have certain new tables (portal_localization not found in old sites)

As Aderson said, you should be fine regarding look & feel except a few minor changes.

For the upgrade process, you should follow the "Suggested Upgrade Path" for your different DNN sites.

You can also take a look at the excellent video from DnnHero "Upgrade DNN Faster and Safer", even you do not use the DnnUpgrade module.
